Terms of Service

Last updated October 7, 2026

1. Who we are

Torvany (the “Service”) is provided by [PLACEHOLDER: registered company name and legal form], registered office at [PLACEHOLDER: registered office address], enterprise number and VAT number [PLACEHOLDER: enterprise number (KBO/BCE) and VAT number] (“Torvany”, “we”, “us”). You can reach us at [email protected] for anything about these terms, [email protected] for billing, [email protected] for personal data, or through our support page.

2. These terms and who they apply to

  • These terms form the contract between us and the person or organisation that uses the Service (“you”). Our Privacy Policy explains how we handle personal data and is not part of this contract. Where we process personal data on your behalf, the data processing terms in section 13 apply.
  • A consumer is a natural person who uses the Service for purposes outside their trade, business, craft or profession. Everyone else, including a sole trader using Torvany for their business, is a business customer. Some sections apply differently to consumers; where they do, we say so. Nothing in these terms limits the rights consumers have under mandatory law.
  • If you accept these terms on behalf of an organisation, you confirm you are authorised to bind it, and “you” means that organisation.
  • We keep a copy of every version of these terms. Email [email protected] for the version you agreed to.

3. Accounts

  • You must be at least 16 years old to create an account. To buy a paid plan you must be an adult with the legal capacity to contract, or act for an organisation.
  • Give accurate information, keep your email address up to date, and keep your password, recovery codes and API keys secret. You can turn on two-factor authentication in Account settings.
  • You are responsible for activity under your account. Tell us at [email protected] straight away if you think it has been compromised.
  • Some actions (inviting people, starting a paid plan) need a verified email address.
  • If your organisation uses single sign-on, its identity provider controls your access to its workspace.

4. Workspaces, roles and invitations

  • Content lives in workspaces. The person who creates a workspace is its owner. The workspace (and the subscription that pays for it) belongs to the owner, or to the organisation the owner acts for, not to the individual members.
  • Owners and admins decide who is a member or guest, what role they have, which plan the workspace is on, and whether features such as AI, public share links, request forms and integrations are switched on. A member who leaves or is removed loses access to the workspace’s content; their own account remains.
  • When you invite someone, you confirm you are allowed to give us their email address for that purpose. We only use it to send the invitation and reminders you trigger. Invitations expire after 7 days, and pending invitations count towards your seats and plan limits while open.
  • If a workspace has no owner who can act (for example the only owner has left the organisation or died), we may, after verifying the request, transfer ownership to another member who shows they are authorised by the organisation. We log every such change.

5. Plans and free trials

  • The Free plan costs nothing and has the limits shown on our pricing page. Paid plans (Pro and Business) add features and higher limits, as described on the pricing page at the time you subscribe.
  • A workspace can try Pro or Business free for 14 days, once per workspace and at most 3 times per person. A trial needs no payment card and is never charged. When it ends, the workspace moves back to the Free plan unless you have chosen a paid plan.
  • AI features use a monthly allowance of credits per workspace (for example 20 on Free and 500 on Pro). Unused credits do not carry over and have no cash value.
  • We may occasionally grant a plan, a trial extension or a discount at our discretion. Such grants end on the date we tell you, after which normal pricing or the Free plan applies.

6. Prices, payment and renewal

  • Paid plans are priced per seat, per month or per year. Every workspace member counts as a seat except guests; guests are free up to your plan’s guest allowance. Prices are in euros or US dollars as shown when you subscribe.
  • Taxes. For business customers, prices are shown excluding VAT; VAT is added at checkout and on invoices where the law requires it, and EU businesses with a valid VAT number outside Belgium are invoiced under the reverse-charge mechanism. For consumers, the total price you pay, including VAT, is shown before you confirm the order.
  • We bill in advance, through our payment processor Stripe, for each billing period. Your subscription renews automatically for another period of the same length at the then-current price until you cancel. We send an invoice for every payment.
  • Seat changes. The number of seats follows the number of members automatically. Adding a member during a period is charged pro rata for the rest of that period; removing one gives a pro-rata credit that is applied to your next invoices. Credits are not paid out in cash, except as stated in section 8.
  • Failed payments. If a payment fails, the workspace’s billing settings show it and our payment processor may retry the payment for a limited period. Paid features stay available during that period. If the payment still fails, the subscription ends and the workspace moves to the Free plan as described in section 7. Amounts owed by business customers remain due.
  • Price changes. We will tell you at least 30 days before a price change takes effect on your subscription. It applies from your next renewal after that notice. If you don’t agree, you can cancel before the renewal date and the old price applies until then.
  • Questions or disputes about a charge: [email protected]. Please contact us before disputing a charge with your bank.

7. Cancelling and downgrading

  • Owners and billing admins can cancel at any time in the workspace’s billing settings. Cancellation takes effect at the end of the current billing period; paid features stay available until then and you can resume the subscription before that date.
  • When a workspace moves to the Free plan, nothing is deleted. Content beyond the Free plan’s limits becomes read-only, and features not included in Free stop working (for example API keys, webhooks and public share links) until you upgrade again.
  • Deleting a workspace, or deleting your account while you are the only member of a workspace, ends that workspace’s subscription immediately. See section 8 for refunds.

8. Right of withdrawal and refunds

Consumers in the EU have the right to withdraw from a paid subscription within 14 days of concluding it, without giving any reason. To withdraw, send us a clear statement (for example by email to [email protected], or using the model form at the end of these terms) before the 14 days have passed.

  • We refund all payments received for that subscription within 14 days of receiving your withdrawal, using the same means of payment you used, at no cost to you.
  • If you asked us to start the paid plan during the withdrawal period (which happens when you subscribe and the paid features become available straight away), you owe a proportionate amount for the days the paid plan was available until you told us you were withdrawing, and we deduct that amount from the refund.
  • Free plans and free trials cost nothing, so there is nothing to withdraw from or refund.

Apart from that right, and whatever the law otherwise requires:

  • Payments are not refunded for a partial billing period when you cancel, remove seats, downgrade, or delete a workspace or account.
  • If we end your subscription without you being at fault (section 16), or materially reduce a paid feature you rely on (section 18), we refund the prepaid fees for the unused part of the period.
  • If the Service does not conform to this contract, consumers keep their statutory remedies (see section 18).

9. Your content

  • You (or your organisation) keep all rights in the projects, tasks, comments, files, form responses and other content you put into Torvany (“Content”). You give us a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit and display Content only as needed to provide, secure and support the Service for you, for as long as the Content is in the Service and the backup period after.
  • You are responsible for your Content and for having the rights and legal basis to upload it, including personal data about others. Don’t upload special categories of personal data (such as health data) unless you have a lawful basis and appropriate safeguards.
  • We don’t look at Content except when you ask us to (for example in a support request), when it’s needed to keep the Service secure or working, to deal with a report under section 15, or when the law requires it.
  • If you send us feedback or suggestions, we may use them freely without obligation to you.

10. Public and connected features

  • Share links let anyone with the link view a project read-only. Request forms let anyone with the link submit information into your workspace. Calendar feeds, API keys and webhooks give access to workspace data to whoever holds the address or key. Treat them as secrets and revoke them when no longer needed. You are responsible for what you publish this way.
  • If you collect personal data through a request form, you are the controller of that data and must give the people who fill it in the information the law requires (for example a link to your privacy notice).
  • Integrations (such as Slack, Microsoft Teams, calendar apps, or imports from Trello, Asana and Jira) are provided by third parties under their own terms. Data you send to them leaves Torvany and is handled by them, not by us.
  • Automations and recurring tasks act on your instructions: they create, change and notify exactly as you configured them. Check rules before you switch them on.

11. AI features

  • AI features generate suggestions (such as drafts, summaries and subtasks) from the Content you select. That Content is sent to our AI provider to produce the result. Owners and admins can switch AI features off for the workspace.
  • AI output is generated automatically and can be wrong, incomplete or unsuitable. Review it before you rely on it or share it. You are responsible for how you use it.

12. Acceptable use

You must not use the Service to, or try to:

  • store, publish or send anything illegal, including content that infringes others’ intellectual property or privacy rights, is defamatory, incites hatred or violence, or exploits children;
  • send spam or unsolicited messages, including through invitations, request forms or notifications;
  • upload malware, or probe, scan, overload, disrupt or reverse-engineer the Service, except as allowed by mandatory law;
  • access another customer’s data, share an account between people, or get around plan limits, rate limits or security controls;
  • use the API in a way that harms the Service or other customers, or resell the Service without our written agreement;
  • impersonate others or phish for credentials, for example with a public form or share link.

13. Personal data

  • For your account data and for running our business (billing, security, support), we are the controller, as explained in our Privacy Policy.
  • For personal data inside workspace Content, the workspace owner (or the organisation it acts for) is the controller and we are its processor under Article 28 of the GDPR. We process that data only on the documented instructions you give by using and configuring the Service, keep it confidential, protect it with appropriate technical and organisational measures, help you answer data subjects’ requests, notify you of a personal data breach without undue delay, and delete or return it at the end of the contract as set out in section 17. The full terms are in our Data Processing Addendum, [PLACEHOLDER: link to the Data Processing Addendum once published], which forms part of this contract for business customers.
  • We use sub-processors (hosting, Stripe for payments, Resend for email, an AI provider for AI features). Some are outside the European Economic Area; transfers rely on an adequacy decision or the European Commission’s standard contractual clauses.

14. Our intellectual property

The Service, its software, design and the Torvany name and logo belong to us or our licensors. We give you a personal, non-exclusive, non-transferable right to use the Service under these terms while your account is active. No other rights are transferred.

15. Reporting illegal content and moderation

  • Anyone can report content they believe is illegal or breaches these terms (including content on a public share link or request form) using the “Report abuse” link on that page or our report form. Please say where the content is, why you think it is illegal, and give your name and email address (unless the report concerns child sexual abuse material). We confirm receipt and handle reports in a timely, diligent and objective way.
  • If we restrict content or an account (for example by disabling a share link or form, or suspending an account), we tell the person affected, with the reasons, unless the law or an authority prevents it. You can reply to that message to contest the decision and a person, not an automated system, will review it.
  • Our single point of contact for authorities and for users under the EU Digital Services Act is [email protected]. We communicate in English, Dutch or French.

16. Suspension and termination

  • You can stop using the Service at any time, cancel a subscription (section 7), delete a workspace you own, or delete your account in Account settings. Consumers can end the contract at any time.
  • We may suspend or restrict access, proportionately and after notice where practical, if you seriously or repeatedly breach these terms, if you don’t pay amounts owed, if it’s needed to prevent harm to the Service, other users or third parties, or if the law or an authority requires it. We lift a suspension once the reason is resolved.
  • We may end the contract for a serious breach that you have not remedied within 14 days of our notice, or immediately where the breach cannot be remedied or the law requires it.
  • We may also stop offering the Service, or end the contract for another reason, with at least 60 days’ notice. In that case we refund prepaid fees for the unused period and you can export your data during the notice period.

17. Export and deletion of your data

  • Everyone can download a copy of their personal data in Account settings. Owners and admins on Pro and Business can export all workspace data as JSON or CSV at any time. On the Free plan, or after a subscription ends, owners can ask [email protected] for a full workspace export within 30 days of the plan ending.
  • Deleted tasks go to the trash and are erased after 30 days. A deleted workspace can be restored by its owner for 30 days and is then permanently erased with its projects, tasks, comments and files. Deleting your account erases the account and any workspace in which you are the only member immediately, without a restore period; if you are the only owner of a workspace with other members, you must first transfer ownership.
  • Erased data stays in our encrypted backups for at most [PLACEHOLDER: backup retention period, e.g. 30 days], after which it is overwritten. We keep invoices and other records for as long as accounting and tax law require.

18. Availability, changes to the Service and conformity

  • We work to keep the Service available, secure and up to date, but we don’t promise uninterrupted availability and don’t offer a service-level agreement unless we agree one in writing. We announce planned maintenance in advance where we can.
  • We may change and improve the Service. We won’t remove or materially reduce a core feature of a paid plan during your current billing period, except where needed for security or by law. If a change affects consumers negatively and more than minimally, we tell them at least 30 days in advance and they can end the contract free of charge within 30 days of the change, with a refund of prepaid fees for the unused period.
  • Consumers have a statutory guarantee that the Service conforms to this contract throughout the subscription, including the updates needed to keep it in conformity. If it doesn’t, you can ask us to bring it into conformity and, if we can’t, ask for a price reduction or end the contract.
  • Business customers: to the extent the law allows, the Service is provided “as is” and “as available”, without implied warranties of fitness for a particular purpose. You are responsible for keeping your own copies of Content that is critical to you.

19. Liability

  • Nothing in these terms limits or excludes liability for fraud, for intentional misconduct or gross negligence, for death or personal injury, or any other liability that cannot be limited or excluded by law.
  • Consumers: we are liable under ordinary Belgian law for damage that is a foreseeable consequence of our failure to perform this contract. We are not liable for damage caused by your own failure to follow these terms or by events outside our reasonable control (section 21).
  • Business customers: apart from the first point, (a) neither party is liable for indirect or consequential loss, including lost profits, revenue, goodwill or data that could have been restored from a backup, and (b) each party’s total liability arising from the contract in any 12-month period is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim, or EUR 100 if that amount is lower or you used only free plans. This limit does not apply to your payment obligations or to your obligations under section 20.

20. Indemnity (business customers only)

Business customers will defend and indemnify us against third-party claims, and the resulting damages and reasonable costs, arising from their Content or from use of the Service in breach of section 12, provided we notify them promptly and let them control the defence. This section does not apply to consumers.

21. Force majeure

Neither party is responsible for failing to perform an obligation (other than paying) because of events beyond its reasonable control, such as natural disasters, war, large-scale network or power failures, failures of upstream providers not caused by us, or acts of authorities. The affected party will tell the other and do what it reasonably can to limit the effects. If the event lasts more than 60 days, either party may end the contract, and we refund prepaid fees for the unused period.

22. Changes to these terms

  • We may update these terms to reflect changes in the law, in the Service, or in how we run it. We won’t use this to change the price or the main characteristics of your plan for a period you have already paid for.
  • For changes that are not to your benefit, we tell you by email and in the app at least 30 days before they take effect, explaining what changes. If you don’t agree, you can end the contract before the changes take effect, free of charge, with a refund of prepaid fees for the unused period. If you keep using the Service after that date, the new terms apply. Changes that only benefit you, or that a law requires at shorter notice, can apply sooner.
  • The date at the top of this page shows when the terms last changed.

23. Governing law, complaints and disputes

  • Please tell us first about any complaint at [email protected]; we reply within 14 days and try to solve it with you.
  • These terms are governed by Belgian law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods.
  • Consumers keep the protection of the mandatory rules of the country where they live, and may bring a claim in the courts of that country or in Belgium. Consumers can also turn to the Belgian Consumer Mediation Service (Consumentenombudsdienst / Service de Médiation pour le Consommateur, mediationconsommateur.be) or to an out-of-court dispute body in their own country.
  • Business customers: disputes go exclusively to the courts of [PLACEHOLDER: judicial district of the registered office, e.g. Ghent, Ghent division].

24. General

  • These terms, together with any order or plan details shown at checkout and, for business customers, the Data Processing Addendum, are the whole agreement about the Service. Any terms printed on your purchase orders do not apply.
  • If a provision is invalid or unenforceable, the rest stays in force and the provision is replaced by a valid one that comes closest to its purpose.
  • If we don’t enforce a right straight away, we don’t give it up.
  • We may transfer the contract to a company that takes over the Service, telling you in advance; this does not reduce your rights, and consumers may end the contract if they object. You may transfer it only with our written agreement, which we won’t refuse unreasonably for a business reorganisation.
  • We send notices to the email address on your account (for workspace matters, to the owner and billing admins) or show them in the app. You can send notices to [email protected].
  • These terms are written in English. If we provide a translation and it differs, the English version applies to business customers; consumers may rely on the translation.
